    Notice is hereby given that, pursuant to the Paperwork Reduction 
Act of 1995 (44 U.S.C. 3501 et seq.), the Securities and Exchange 
Commission (``Commission'') is soliciting comments on the collection of 
information summarized below. The Commission plans to submit these 
existing collections of information to the Office of Management and 
Budget for extension and approval.
    Form 40-F is used by certain Canadian issuers to register 
securities pursuant to Section 12 of the Securities Exchange Act of 
1934 (``Exchange Act'') or as an annual report pursuant to Section 
13(a) or 15(d) of the Exchange Act. The information required under 
cover of Form 40-F can be used by security holders, investors, broker-
dealers, investment banking firms, professional securities analysts and 
others in evaluating securities and making investment decisions with 
respect to securities of certain Canadian companies. Form 40-F takes 
approximately 2 hours to prepare and is filed by an estimated 100 
respondents for a total annual response of 200 burden hours. It is 
estimated that 25% (50 hours) of the 200 hours would be prepared by the 
company.
    Schedule 13E-4 is filed pursuant to Section 13(e)(1) of the 
Exchange Act by issuers conducting a tender offer. This information is 
needed to provide full and fair disclosure to the investing public. 
Schedule 13E-4 takes approximately 232 hours to prepare and is filed by 
an estimated 121 respondents annual for a total of 28,072 burden hours.
    Written comments are invited on: (a) whether the proposed 
collection of information is necessary for the proper performance of 
the functions of the agency, including whether the information will 
have practical utility; (b) the accuracy of the agency's estimate of 
burden of the collection of information; (c) ways to enhance the 
quality, utility, and clarity of the information collected; and (d) 
ways to minimize the burden of the collection of information on 
respondents, including through the use of automated collection 
techniques or other forms of information technology. Consideration will 
be given to comments and suggestions submitted in writing within 60 
days of this publication.
