Central Vermont Public Service Corporation; Notice of Filing

March 29, 1999.
    Take notice that on March 23, 1999, Central Vermont Public Service 
Corporation (Central Vermont) filed an application under Section 203 of 
the Federal Power Act and Part 33 of the Commission's regulations for 
expedited authorization to acquire a security from its wholly-owned 
subsidiary, Connecticut Valley Electric company, Inc. (Connecticut 
Valley). Central Vermont seeks authorization to purchase a note and its 
related loan agreement between Connecticut Valley and Citizens Bank New 
Hampshire (Citizens Bank) in a face amount of $3.75 million. Central 
Vermont states that Connecticut Valley is in default on the note 
payments and that Central Vermont must purchase the note and loan 
agreement to prevent acceleration and attachment and foreclosure 
proceedings against Connecticut Valley. Unless Central Vermont acts 
quickly to cure the default, Connecticut Valley may become insolvent, 
and Central Vermont's credit rating will be adversely affected.
    Any person desiring to be heard or to protest such filing should 
file a motion to intervene or protest with the Federal Energy 
Regulatory Commission, 888 First Street, N.E., Washington, D.C. 20426, 
in accordance with Rules 211 and 214 of the Commission's Rules of 
Practice and Procedure (18 CFR 385.211 and 385.214). All such motions 
and protests should be filed on or before April 8, 1999. Protests will 
be considered by the Commission to determine the appropriate action to 
be taken, but will not serve to made protetants parties to the 
proceedings. Any person wishing to become a party must file a motion to 
intervene. Copies of this filing are on file with the Commission and 
are available for public inspection. This filing may also be viewed on
